B2B Software Terms
Last updated: April 27, 2026. OSPHERIX licenses are sold through checkout to companies, professionals, and business users.
1. Seller Identity

2. Business Customer Confirmation
By purchasing, you confirm that you act for a business, professional activity, agency, venue, or other non-consumer purpose. You also confirm that the company name and tax ID provided at checkout are accurate.
3. Digital Delivery
Licenses, download access, and activation rights are delivered digitally after payment. Delivery starts immediately after checkout completion.
4. Customer Responsibility
- You are responsible for testing the software before paid events.
- You are responsible for compatible hardware, drivers, cameras, networks, printers, storage, and internet access.
- You are responsible for event backups, fallback workflows, and operator training.
- OSPHERIX is not responsible for third-party service, hardware, operating system, driver, camera, payment, email, or network outages.
5. Warranty Limits
To the maximum extent permitted by applicable mandatory law, the software is provided without guarantees that it will be uninterrupted, error-free, compatible with every local setup, or suitable for every event scenario.
6. Liability Limits
To the maximum extent permitted by applicable mandatory law, OSPHERIX is not liable for indirect, incidental, special, consequential, reputational, business interruption, loss of profit, loss of data, lost event revenue, client claims, or missed-event damages.
Any aggregate liability is limited to the amount actually paid by the customer for the affected license during the 12 months before the event giving rise to the claim.
7. Support and Updates
Support, updates, or compatibility work are provided according to the purchased offer and operational availability. No SLA, guaranteed response time, custom development obligation, or event-day emergency obligation applies unless agreed in a separate written contract. Support is provided on a best-effort basis — it constitutes an obligation of reasonable effort, not of result. 8. License Transfer
Licenses purchased under these terms are non-transferable and non-sublicensable. You may not resell, assign, or transfer your license or activation rights to a third party without prior written consent from OSPHERIX.
9. Confidentiality
If you receive access to beta features, admin consoles, or non-public functionality, you agree to keep such access and any associated information confidential and not to share or disclose it to third parties without prior written consent from OSPHERIX.
10. Termination
OSPHERIX may suspend or revoke a license with immediate effect in cases of: fraudulent payment or chargeback, unauthorized redistribution of the software, violation of these terms, or abuse of the licensing or activation system. No refund is due upon termination for cause.
11. Price Changes
OSPHERIX may change its published prices at any time. Price changes do not affect licenses already purchased and fully paid. Subscription renewals are billed at the price in effect at the time of renewal.
12. Governing Law and Jurisdiction
These terms are governed by Romanian law. Any dispute that cannot be resolved amicably shall be submitted to the competent courts of Bucharest, Romania. For customers located in other EU member states, mandatory consumer protection laws of their country of residence remain unaffected.
13. Mandatory Law
Nothing in these terms excludes liability or rights that cannot legally be excluded under mandatory applicable law. If a clause is unenforceable, the remaining clauses continue to apply.
